Terms of Service

Please read these Terms of Service carefully before using bevMetrix. These terms form a legally binding agreement between you and bevMetrix LLC. By accessing or using the service, you confirm that you have read, understood, and agree to be bound by these terms.

Acceptance of Terms

  • –By creating an account, clicking 'I agree,' or otherwise accessing or using bevMetrix, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.
  • –These terms apply to all users, including account owners, administrators, managers, and staff members added to your account.
  • –If you are using bevMetrix on behalf of a business or organization, you represent that you have authority to bind that entity to these terms, and 'you' refers to both you and that entity.
  • –We record your acceptance of these terms (including timestamp and IP address) at account creation.

Description of Service

  • –bevMetrix is a bar and beverage inventory management platform that provides tools for tracking stock levels, managing vendors, generating purchase orders, analyzing pour costs, and related operational tasks for licensed alcohol industry professionals.
  • –The service is provided 'as is' and is intended as a tool to assist your operational judgment — not as a substitute for professional accounting, legal, or compliance advice.
  • –We reserve the right to modify, suspend, or discontinue any part of the service at any time. For material changes, we will provide reasonable advance notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.
  • –Features marked as 'beta,' 'experimental,' or 'preview' are provided without warranty and may be changed or removed without notice.

Eligibility and Age Restriction

  • –You must be at least 18 years of age to use bevMetrix.
  • –The service is designed for use by licensed alcohol industry professionals operating in compliance with all applicable federal, state, and local laws governing the sale and distribution of alcohol.
  • –By using bevMetrix, you represent that you meet these eligibility requirements. We reserve the right to terminate accounts if we discover these requirements are not met.

Accounts and Access

  • –You must provide accurate, current, and complete information when creating your account and keep it up to date. Inaccurate information may result in service interruption or termination.
  • –You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether authorized or not.
  • –You must notify us immediately at support@bevmetrix.com if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials.
  • –You may not share login credentials across multiple unrelated businesses, sublicense your account, or resell access to the platform.
  • –We reserve the right to suspend or terminate accounts that violate these terms, are used for fraudulent purposes, or pose a security risk to other users.

Subscription and Billing

  • –bevMetrix is offered at $49.99 per location per month. Your subscription begins on the date you complete checkout and renews automatically on the same calendar day each month until cancelled.
  • –Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis without further authorization for each renewal period.
  • –All fees are non-refundable except where required by applicable law. If you cancel, your access continues until the end of the current paid billing period — no partial-month refunds are issued.
  • –If a payment fails, we may retry the charge and will notify you by email. Accounts with failed payments may be suspended until payment is resolved.
  • –We may change subscription pricing at any time with at least 30 days' written notice to the email address on your account. Continued use after the effective date constitutes acceptance of the new pricing.
  • –We reserve the right to offer promotional pricing, which may not be available to all users and may expire without notice.

Acceptable Use

  • –You agree to use bevMetrix only for lawful purposes, in accordance with these terms, and in compliance with all applicable laws, including those governing the sale and distribution of alcohol.
  • –You may not attempt to reverse-engineer, decompile, disassemble, or otherwise extract the source code or underlying intellectual property of the platform.
  • –You may not use the service to store or transmit malicious code, conduct denial-of-service attacks, attempt unauthorized access to our systems or other users' accounts, or interfere with the integrity or availability of the service.
  • –You may not scrape, crawl, mirror, or use automated tools to extract data from bevMetrix at scale without prior written permission.
  • –You may not use bevMetrix in connection with any illegal activity, including the unlicensed sale of alcohol, tax evasion, or falsification of inventory records.
  • –Violation of these restrictions may result in immediate account termination and, where applicable, referral to law enforcement.

Your Data

  • –You retain full ownership of the inventory data, product records, and business information you enter into bevMetrix.
  • –By using the service, you grant bevMetrix LLC a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your data solely as necessary to provide the service to you.
  • –We do not use your identifiable business data for advertising purposes, and we do not sell your inventory or operational data to third parties. See our Privacy Policy for full details on data sharing.
  • –You are solely responsible for the accuracy, legality, and appropriateness of data you enter into bevMetrix. We are not liable for decisions made based on inaccurate data you provide.
  • –You are responsible for maintaining independent backups of records critical to your business. While we employ reasonable measures to prevent data loss, we do not guarantee that your data will never be lost or corrupted.

Intellectual Property

  • –bevMetrix and all associated software, designs, trademarks, logos, and content are owned by bevMetrix LLC and protected by applicable intellectual property laws, including copyright and trademark law.
  • –Nothing in these terms grants you any right, title, or interest in our intellectual property. You are granted only a limited, non-transferable, non-exclusive license to use the service as permitted by these terms.
  • –You may not use our name, logo, or trademarks in any manner that could imply endorsement, affiliation, or partnership without our prior written consent.
  • –You grant us a limited license to use your company name and logo solely to identify you as a bevMetrix customer (e.g., in a customer list), which you may revoke by contacting us.

Third-Party Services

  • –bevMetrix integrates with third-party services including Supabase, Stripe, Vercel, and Google Analytics. These services are governed by their own terms and privacy policies, which we do not control.
  • –We are not responsible for the performance, availability, or data practices of any third-party service. Issues with third-party services (including payment processing downtime) do not entitle you to refunds or credits.
  • –The PLCB ordering integration relies on PLCB's portal and catalog, which are operated by the Commonwealth of Pennsylvania. We make no representations about the accuracy or completeness of PLCB product data, and submission errors resulting from changes to the PLCB portal are outside our control.

Disclaimers

  • –THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
  • –We do not warrant that the service will be error-free, that defects will be corrected, or that the service or the servers that make it available are free of viruses or other harmful components.
  • –Cost calculations, par level suggestions, order estimates, and any other output generated by bevMetrix are tools to assist your operational judgment — they are not financial, legal, or compliance advice. You are solely responsible for your business decisions.
  • –We make no guarantee of any specific uptime or availability. Scheduled maintenance, third-party outages, and force majeure events may cause downtime without notice.

Limitation of Liability

  • –TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEVMETRIX LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • –OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO BEVMETRIX IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • –Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

  • –You agree to defend, indemnify, and hold harmless bevMetrix LLC and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service; (b) your violation of these terms; (c) your violation of any applicable law or regulation, including those governing alcohol licensing; (d) inaccurate or unlawful data you submit through the service; or (e) any dispute between you and a third party.

Dispute Resolution and Arbitration

  • –PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
  • –Any dispute, claim, or controversy arising out of or relating to these terms or the use of bevMetrix that cannot be resolved informally shall be submitted to binding arbitration administered by a mutually agreed arbitration provider under its applicable rules, except as set forth below.
  • –The arbitration shall be conducted in Erie, Pennsylvania or via video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
  • –CLASS ACTION WAIVER: YOU AND BEVMETRIX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.
  • –Exceptions: Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Small claims court actions within the applicable jurisdictional limits are also permitted.
  • –If the class action waiver is found unenforceable, the arbitration agreement shall be null and void with respect to that claim only, which shall proceed in court.

Force Majeure

  • –We will not be liable for any failure or delay in performance of our obligations under these terms to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, governmental actions, internet or power infrastructure failures, or failures of third-party service providers.
  • –In such events, we will make reasonable efforts to resume the affected services as soon as practicable.

Termination

  • –You may cancel your account at any time through the Settings page or by contacting support@bevmetrix.com. Cancellation takes effect at the end of your current billing period.
  • –We may terminate or suspend your account immediately, without prior notice or liability, for violations of these terms, fraudulent or illegal activity, non-payment, or conduct that we reasonably believe poses a risk to other users or the platform.
  • –Upon termination, your right to access the service ends immediately. We will retain your data for up to 90 days after termination, after which it will be deleted in accordance with our Privacy Policy, unless retention is required by law.
  • –Sections of these terms that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law — shall survive.

Business Transfer

  • –In the event that bevMetrix LLC is acquired by, merged with, or transfers substantially all of its assets to another entity, your account and associated data may be transferred as part of that transaction.
  • –We will notify you via email or prominent notice on the platform at least 30 days before your data becomes subject to a materially different privacy policy. You may close your account if you do not agree to the new terms.

Governing Law

  • –These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.
  • –To the extent court proceedings are permitted under the Dispute Resolution section above, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Erie County, Pennsylvania.

Changes to These Terms

  • –We may update these Terms of Service from time to time. We will notify you by email at least 14 days before material changes take effect, and we will update the 'Last updated' date below.
  • –If you do not agree to the updated terms, you must stop using the service and cancel your account before the effective date.
  • –Continued use of bevMetrix after the effective date of updated terms constitutes your acceptance of the changes.
